Basic Terms

1. You must be 13 years or older to use this site.
2. You may not post nude, partially nude, or sexually suggestive photos.
3. You are responsible for any activity that occurs under your screen name.
4. You are responsible for keeping your password secure.
5. You must not abuse, harass, threaten, impersonate or intimidate other YouMeme users.
6. You may not use the YouMeme service for any illegal or unauthorized purpose. International users agree to comply with all local laws regarding online conduct and acceptable content.
7. You are solely responsible for your conduct and any data, text, information, screen names, graphics, photos, profiles, audio and video clips, links ("Content") that you submit, post, and display on the YouMeme service.
8. You must not modify, adapt or hack YouMeme or modify another website so as to falsely imply that it is associated with YouMeme.
9. You must not access YouMeme's private API by any other means other than the YouMeme application itself.
10. You must not crawl, scrape, or otherwise cache any content from YouMeme including but not limited to user profiles and photos.
11. You must not create or submit unwanted email or comments to any YouMeme members ("Spam").
12. You must not use web URLs in your name without prior written consent from YouMeme, inc.
13. You must not transmit any worms or viruses or any code of a destructive nature.
14. You must not, in the use of YouMeme, violate any laws in your jurisdiction (including but not limited to copyright laws).
15. Violation of any of these agreements will result in the termination of your YouMeme account. While YouMeme prohibits such conduct and content on its site, you understand and agree that YouMeme cannot be responsible for the Content posted on its web site and you nonetheless may be exposed to such materials and that you use the YouMeme service at your own risk.

General Conditions

1. We reserve the right to modify or terminate the YouMeme service for any reason, without notice at any time.
2. We reserve the right to alter these Terms of Use at any time. If the alterations constitute a material change to the Terms of Use, we will notify you via internet mail according to the preference expressed on your account. What constitutes a "material change" will be determined at our sole discretion, in good faith and using common sense and reasonable judgement.
3. We reserve the right to refuse service to anyone for any reason at any time.
4. We reserve the right to force forfeiture of any username that becomes inactive, violates trademark, or may mislead other users.
5. We may, but have no obligation to, remove Content and accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libellous, defamatory, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Service.
6. We reserve the right to reclaim usernames on behalf of businesses or individuals that hold legal claim or trademark on those usernames.

Proprietary Rights in Content on YouMeme

1. YouMeme does NOT claim ANY ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, applications, or any other materials (collectively, "Content") that you post on or through the YouMeme Services. By displaying or publishing ("posting") any Content on or through the YouMeme Services, you hereby grant to YouMeme a non-exclusive, fully paid and royalty-free, worldwide, limited license to use, modify, delete from, add to, publicly perform, publicly display, reproduce and translate such Content, including without limitation distributing part or all of the Site in any media formats through any media channels, except Content not shared publicly ("private") will not be distributed outside the YouMeme Services.
2. Some of the YouMeme Services are supported by advertising revenue and may display advertisements and promotions, and you hereby agree that YouMeme may place such advertising and promotions on the YouMeme Services or on, about, or in conjunction with your Content. The manner, mode and extent of such advertising and promotions are subject to change without specific notice to you
3. You represent and warrant that: (i) you own the Content posted by you on or through the YouMeme Services or otherwise have the right to grant the license set forth in this section, (ii) the posting and use of your Content on or through the YouMeme Services does not violate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights or any other rights of any person, and (iii) the posting of your Content on the Site does not result in a breach of contract between you and a third party. You agree to pay for all royalties, fees, and any other monies owing any person by reason of Content you post on or through the YouMeme Services.
4. The YouMeme Services contain Content of YouMeme ("YouMeme Content"). YouMeme Content is protected by copyright, trademark, patent, trade secret and other laws, and YouMeme owns and retains all rights in the YouMeme Content and the YouMeme Services. YouMeme hereby grants you a limited, revocable, nonsublicensable license to reproduce and display the YouMeme Content (excluding any software code) solely for your personal use in connection with viewing the Site and using the YouMeme Services.
5. The YouMeme Services contain Content of Users and other YouMeme licensors. Except as provided within this Agreement, you may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any Content appearing on or through the YouMeme Services.
6. YouMeme performs technical functions necessary to offer the YouMeme Services, including but not limited to transcoding and/or reformatting Content to allow its use throughout the YouMeme Services.
7. Although the Site and other YouMeme Services are normally available, there will be occasions when the Site or other YouMeme Services will be interrupted for scheduled maintenance or upgrades, for emergency repairs, or due to failure of telecommunications links and equipment that are beyond the control of YouMeme. Also, although YouMeme will normally only delete Content that violates this Agreement, YouMeme reserves the right to delete any Content for any reason, without prior notice. Deleted content may be stored by YouMeme in order to comply with certain legal obligations and is not retrievable without a valid court order. Consequently, YouMeme encourages you to maintain your own backup of your Content. In other words, YouMeme is not a backup service. YouMeme will not be liable to you for any modification, suspension, or discontinuation of the YouMeme Services, or the loss of any Content.

1. Parties
   This agreement is made between YouMeme.com (“Company”), a United Arab Emirates corporation, and you (“You” or “Your”).
   
   Definitions Qualified User: someone who meets all of the following conditions:
   
   A YouMeme.com.com account holder in good standing Referred User: someone who has been referred to www.youmeme.com by a Qualified User. You become a Referred User by accessing a Qualified User’s unique referral URL and creating a new account on the YouMeme.com platform (Referred Account).
   
   Only the person who creates the Referred Account is considered the Referred User, and there can only be one Referred User for each Referred Account created.
   
   Referred Account: a new YouMeme account created by a Referred User by accessing a Qualified User’s unique referral URL.
   
   Eligible Referral: A Referred Account qualifies as an Eligible Referral if all of the following conditions are met:
   
   Referred User does not have a pre-existing YouMeme.com account; Referred Account must earn at least 1000 YouMeme Diamonds for completing daily tasks or referring other Referred User(s) to YouMeme.com Referred Account must remain a YouMeme user in good standing for a minimum 30 days; and Referred Account must be active at least once every week during the first 30 days after the signup date and publish at least one meme.
2. Your Referral Code
   Following acceptance of this agreement You shall be given a unique “Referral Code”. In order to obtain the benefits provided for by Company’s referral program, You must use Your unique Referral Code at all times.
3. YouMeme Diamonds (Referral Points)
   If Your Referral Code is used by a Referred User to register for YouMeme.com via Your unique Referral URL, and the Referred User meets all qualifications of an Eligible Referral, You shall be provided with YouMeme Diamonds for that referral.
   At a later stage, these YouMeme Diamonds will be exchangeable for YouMeme tokens (at a conversion rate chosen at the sole discretion of our team) and act as the official virtual currency of our entire social network ecosystem.
4. Untracked Referrals
   Referral Codes may not be applied to registrations after the fact. You will only receive YouMeme Diamonds for registrations completed by Referred Users who use Your assigned Referral Code.
5. Referral Earnings
   Your Referral Points will entitle You to the following rewards, paid on the schedule listed below:
   100 YouMeme Diamonds for each Eligible Referral credited to You and manually redeemed by You from within Your YouMeme.com account section within 6 months of each qualified Referred Account’s signup You will be responsible for all taxes, fees and levies associated with the transfer of upcoming YouMeme (YM) tokens to Your account, regardless of the jurisdiction in which they arise, and are cautioned to seek independent legal counsel.
6. Marketing Restrictions
   You may not use Your Referral Code as an Affiliate Code in connection with marketing, advertisements, copy, text, images or any other content that is inconsistent with Company’s marketing efforts, as determined by Company in its sole discretion. Any anticipated or actual breach of this clause shall entitle Company to terminate Your YouMeme.com account without further notice and Company shall not be obligated to pay any YouMeme Diamonds related to the breach of this clause.
   Examples of inconsistent marketing include, but are not limited to: offensive words, profanity, sexual content or hateful content; or, association with illegal marketing schemes such as pyramid schemes, Ponzi schemes or other forms of marketing banned in United Arab Emirates or Your jurisdiction; or, implying that YMs are securities (e.g. stocks, bonds, etc.); or, suggestions that purchasers will gain any rights with respect to Company; or, association with spamming or illegal activities; or, defamatory content. Company may provide further guidance, marketing or suggested imagery from time-to-time for use with Referral Codes.
7. Ambassador Program
   Qualified User(s) who referred more than 20 Referred Users can apply to a special incentives program (the “Ambassador Program”) and benefit from double Referral Earnings for the next Referred Users they bring to YouMeme, while remaining subject to the same rules established by the present Referral Terms and conditions.
8. Term
   This agreement shall remain in effect until December 31, 2025 unless Company chooses to continue the program under the same terms of service.
9. No Agency
   You are not an agent for Company and may not represent to the public that You are acting on behalf of Company.
10. Inactivity
    If your account is left dormant for more than one year, meaning that you do not login and create a meme for 365 days, YouMeme will consider your account abandoned and will rescind any unclaimed YouMeme Diamonds in your account.
11. Fraud and Abuse
    YouMeme may offer Members rewards for using the service, namely, YouMeme Diamonds ("YM"), in exchange for beneficial activity such as referring new users, engaging with content, long-term engagement on the platform, participating in meme contests, among other possible reasons. As such, these incentive mechanisms are potentially subject to attempted fraud and abuse, and therefore, to protect the project and its Members, fraud or abuse of any sort will absolutely not be tolerated.
    
    In the event that YouMeme detects fraud or abuse on your part, we reserve the right to terminate your account and/or cancel any rewards provided. Additionally, we may take steps to further prevent you from using the service, and we also reserve the right to prosecute you for fraudulent activity.
    
    Fraud is defined as intentionally attempting to earn additional rewards that you would not earn under regular use. Abuse includes submission of advertisements which violate published YouMeme advertising policies, modification, exploitation, or reverse engineering of YoUmeme software or traffic, using bots or programmatic means of accessing YouMeme's website or services (except when exposed intentionally through an API as opposed to a web page), or performing any action which interferes with the normal operation and stability of the YouMeme platform.
    
    Some examples of fraud and abuse include, running automated programs or bots designed to earn rewards or entering bogus or duplicate queries in an attempt to earn rewards beyond those which would typically be provided for normal search behavior, creating accounts with invalid emails or contact info, creating fake accounts or fake referrals, or creating multiple accounts to bypass account limits and restrictions. Note that the use of traffic anonymization services (shared VPNs, TOR, cloud servers, etc.) may also flag your account as fraudulent if other Members are also using those networks to fraudulently earn rewards. There is an automated anti-abuse system in place that analyzes your search behavior and platform usage on an ongoing basis to determine whether you are abusing the reward system.
    
    In the event you are determined to have violated any these Terms, any rewards you have earned may be forfeited. Any decision by YouMeme to revoke your rewards for a Terms of Service violation will be in the sole and complete discretion of YouMeme.
12. Limitation of Liability
    Notwithstanding any term of this agreement, Company’s liability to You shall be limited to 500 YouMeme Diamonds maximum.
13. Termination
    This agreement may be terminated by the Company without any notice.
14. Choice of Forum and Governing Law
    Any disputes shall be heard in the courts of Dubai and the laws of the United Arab Emirates shall apply.
15. Entire Agreement
    This agreement is the entire agreement between the parties with respect to affiliate payments, commissions, referrals, or any other subject matter covered by this agreement and supersedes any other understandings.
16. Update
    This Agreement can be updated any time without Public Announcement.
17. Change in company incorporation
    The company may at some point of its development change the location of its incorporation. This won’t change the conditions
